This Services Agreement is entered into as of date by and between BaseKamp Design and the Client, both of whom agree to be bound by this Agreement.
WHEREAS, The Client has conceptualized a product listed on the proposal and desires to hire BaseKamp Design, who is engaged in the business of development, to design such product.
NOW, THEREFORE, subject to the terms and conditions hereinafter set forth the Client and BaseKamp Design hereto (each individually a “Party” and collectively the “Parties”) agree as follows:
- SERVICES.
BaseKamp Design shall develop all deliverables required to implement the product as described on the proposal.
- FEES AND EXPENSES.
2.1. Fees.
The Client shall pay BaseKamp Design a recurring flat rate for services as described in the proposal. The first payment begins upon order acceptance and continues on schedule until canceled.
2.2. Expenses.
BaseKamp Design may incur costs for which it shall be reimbursed by The Client. BaseKamp Design will obtain approval from The Client prior to incurring such costs.
- TERM AND TERMINATION.
3.1 Grace Period.
This Agreement shall last from the date of execution until canceled in writing no less than one year post order date to the completion of the Services, as described herein. The Client may terminate this Agreement for any reason with fifteen (15) days notice to BaseKamp Design. Upon such notice of termination, BaseKamp Design will provide an invoice to the Client outlining all costs incurred to the point of such notice. Such costs shall be due and payable upon termination. BaseKamp Design may withhold any deliverables pursuant to the Services until such payment is made in full.
3.2 Minimum Term Length.
Post Grace Period, this Agreement shall last at minimum 1 year, automatically continuing until terminated in writing with a 30 day written notice. Cancellations prior to one year will incur an early termination fee equal to the remaining one year contract value.
- FULFILLMENT POLICIES.
BaseKamp Design shall deliver all deliverables pursuant to the Services as described on the proposal. If the product as delivered does not conform with the specifications described on the proposal, the Client shall within fifteen (15) days of the date of delivery notify BaseKamp Design in writing of the ways in which it does not conform with such specifications. BaseKamp Design agrees that upon receiving such notice, it shall make reasonable efforts to correct any non-conformity. If such notice is not received within fifteen (15) days the product shall be deemed to conform entirely with the specifications described on the proposal.
4.1 Refund Policy
Clients are entitled to a full refund within 3 business days of order inception, provided that work on the project has not yet started. If work has commenced, no refund will be available. To request a refund, please contact our customer service team within the specified timeframe.
4.2 Delivery Policy
Custom printed products have varying timelines for delivery based on the type of product and the type of production services required. During the time of order, we will provide a more accurate delivery estimation based on the specifics of your project. We strive to ensure timely delivery and will communicate any potential delays as soon as possible.
4.3 Return Policy
We accept returns on print material within 30 days of receipt of the product. To be eligible for a return, the item must be in the same condition that you received it and in the original packaging. Please contact our customer service team to initiate a return and receive further instructions.
4.4 Cancellation Policy
Customers may cancel their order within 10 days from the order inception. However, any hours spent on the project up to the point of cancellation will be billable at a rate of $125 per hour. The total billable amount will be deducted from the refund.
- PROPRIETARY RIGHTS.
BaseKamp Design shall maintain complete ownership of all rights, title, and interest in any intellectual property related to the product, and the Services provided shall be recognized as work undertaken by BaseKamp Design, in accordance with the Copyright Act’s provisions, as amended from time to time. The client acknowledges and agrees that the product will encompass valuable proprietary elements, and no rights to these elements are conferred to the client including content, videos and theme files.
- INTELLECTUAL PROPERTY WARRANTY.
BaseKamp Design warrants and represents that it will not knowingly violate the intellectual property rights of any third party in its performance of the Services. BaseKamp Design warrants and represents that any content provided to the client to facilitate the performance of the Services shall not violate the intellectual property rights of any third party and shall indemnify the client against any claim that results from the provision of such allegedly infringing content.
Content provided to BaseKamp Design by the client will be assumed as properly licensed or obtained for use by the client. Client shall indemnify BaseKamp Design against any claim that results from the usage of such allegedly infringing content.
